Terms for businesses
The essentials
- Capyplazo appears as a payment method in your checkout and at your counter.
- You pay a fee on each financed sale; it is set in your commercial annex.
- We settle the full amount of your financed sales every week, less the fee.
- The default risk is ours: you are paid even if your customer pays late.
1. Who signs these terms
These terms bind [Company name], S.A. de C.V. (“Capyplazo”) and the business that joins Capyplazo (“the business”), from the day the business accepts them in its console. The fee and anything agreed for a particular business are in its commercial annex, which forms part of these terms.
2. Joining and review
The business signs up in its console and gives the details of the company, its legal representative and its bank account. Capyplazo reviews them before the business can sell and may ask for more documents. Capyplazo may decline or end an affiliation as set out in section 10.
3. How the business offers Capyplazo
The business shows Capyplazo as one more payment method, online or at its counter, with the same price it charges any other payment method.
- No surcharge: the business does not charge the customer more for paying with Capyplazo.
- The customer decides: Capyplazo approves or declines each purchase; the business is only told whether it was financed.
- No splitting: one purchase is one order: it is not split to stay under a limit.
4. Fee and settlement
For each financed sale the business pays the fee set in its commercial annex, plus VAT. Capyplazo settles the full amount of the week’s financed sales, less the fee and any cancellations or refunds, by SPEI transfer to the business’s account, every [Monday] for the sales of the week before.
Each settlement and each sale are in the console. Capyplazo issues the business an invoice (CFDI) for its fees [every month].
5. Cancellations and refunds
When the business cancels a sale or accepts a return, it records it in its console or through the API on the day it happens. Capyplazo adjusts the customer’s plan and deducts the amount from the business’s next settlement.
6. Default risk
Once Capyplazo approves a purchase and the business delivers it, the risk that the customer does not pay is Capyplazo’s. The business keeps what it was paid even if the customer pays late or stops paying, except for a sale that was not delivered or was made in breach of these terms.
7. What the business commits to
The business delivers what it sold, as it sold it; gives its customers true information about price, delivery and returns; keeps its integration and its users’ access secure; and lets Capyplazo know of any suspected fraud as soon as it knows of it.
8. The brands
Each party may use the other’s name and logo only to say that the business accepts Capyplazo, as the materials Capyplazo provides show them, while these terms are in force.
9. Personal data
Capyplazo is responsible for the data of the customers who apply for credit, as its privacy notice states. The data of the business’s people are processed as the privacy notice for businesses states. Neither party uses the other’s customer data for anything other than the sale.
10. Term and ending
These terms run for an indefinite period. Either party may end them with [30] days’ notice in the console; Capyplazo may suspend sales at once in the event of fraud or a serious breach. Sales already approved are settled as these terms say.
11. Applicable law
These terms are governed by the federal laws of Mexico. For any dispute the parties submit to the courts of Mexico City, waiving any other jurisdiction.
